Aberdeen Girls Softball (AGSA) Bylaws
Article I – Name and Purpose
Section 1. Name
The name of this organization shall be Aberdeen Girls Softball Association (AGSA) (hereafter referred
to as the “Organization”).
Section 2. Purpose
AGSA is a nonprofit, community-based youth softball organization established to:
- Provide a safe, positive, and inclusive environment for youth softball,
- Promote sportsmanship, teamwork, leadership, and respect,
- Encourage physical fitness, skill development, and personal growth,
- Support players, coaches, volunteers, and families within the community.
Article II – Nonprofit Status
AGSA shall operate as a nonprofit organization. No part of the net earnings shall benefit any
individual, officer, or board member, except for reasonable reimbursement or compensation for
services rendered on behalf of the Organization.
Article III – Membership
Section 1. Eligibility
Membership is open to girls ages 5 and up, with placement based on age level, program availability,
and interest.
Section 2. Player Expectations
All players are expected to:
- Attend practices and games with a positive attitude,
- Be willing to learn, grow, and develop skills,
- Participate respectfully and cooperatively as part of a team environment.
Section 3. Good Standing
Members must comply with all AGSA bylaws, policies, codes of conduct, and league rules to remain
in good standing.
Article IV – Board of Directors
Section 1. Authority
The Board of Directors (the “Board”) is the governing body of AGSA and holds final authority over all
organizational matters.
Section 2. Composition
The Board shall consist of the following voting officers:
- President
- Vice President
- Secretary
- Treasurer
The Board shall also appoint a Travel Ball Coordinator, who serves in a non-voting capacity except in
the event of a tie vote.
Section 3. Terms
Board members shall serve without term limits and remain in their positions until resignation, removal,
or replacement by Board action.
Section 4. Quorum
A majority of the voting Board members shall constitute a quorum for the transaction of business.
Article V – Officers and Duties
President
- Oversees all operations of AGSA,
- Presides over Board meetings,
- Serves as the primary representative of the Organization,
- Ensures enforcement of bylaws and Board decisions.
Vice President
- Assists the President with organizational oversight,
- Supports coordination among Board members,
- Assumes the duties of the President in their absence.
Secretary
- Maintains official records and meeting minutes,
- Handles official correspondence,
- Maintains bylaws, policies, and organizational documentation.
Treasurer
- Oversees all financial matters of AGSA,
- Maintains accurate financial records,
- Manages budgets, deposits, and expenditures,
- Provides financial reports to the Board.
Travel Ball Coordinator
- Serves as the primary liaison between the Board, travel coaches, parents, and players,
- Communicates Board-approved policies, expectations, schedules, and announcements,
- Brings questions, concerns, and issues to the Board for decision-making,
- Assists with coordination of tryouts, registration, meetings, and logistics as directed by the
Board,
- Does not make independent decisions regarding budgets, discipline, rosters, schedules, or
policies,
- Serves as a non-voting Board member, except in the event of a tie vote.
Article VI – Meetings
Section 1. Board Meetings
Board meetings shall be held at a minimum of once per year, with additional meetings scheduled as
needed.
Section 2. Voting
All Board decisions shall be made by majority vote of the voting Board members present, unless
otherwise specified.
Article VII – Committees
The Board may establish standing or special committees as necessary to support AGSA activities
and programs.
Article VIII – Code of Conduct
All players, parents, coaches, volunteers, officials, and spectators are expected to uphold standards
of sportsmanship, respect, safety, and integrity.
Article IX – Finances
- The fiscal year shall be determined by the Board,
- All funds shall be used solely for the benefit of AGSA,
- Financial controls and spending limits shall be established by the Board.
Article X – Discipline, Bans, and Refusal of Service
AGSA reserves the right to refuse service or participation to any individual.
Bans, suspensions, or removals must be approved by a majority vote of the Board of Directors.
Bans may be imposed for reasons including, but not limited to:
- Harassment or intimidation,
- Threats or acts of violence,
- Theft or destruction of property,
- Legal ineligibility,
- Conduct determined by the Board to be inconsistent with AGSA’s mission, principles, or values.
Article XI – Amendments and Review
These bylaws may be amended by a majority vote of the Board, provided advance notice is given.
These bylaws shall be reviewed at least once every five (5) years to ensure continued alignment with
the mission, operations, and legal requirements of Aberdeen Girls Softball Association (AGSA).
Article XII – Dissolution
Upon dissolution of AGSA, all remaining assets shall be distributed to another nonprofit youth sports
organization or charitable entity in accordance with applicable laws.
